FSM - THE PAST, THE PRESENT, THE FUTURE

History

The Federation of Sabah Manufacturers (FSM) was formed in 1983 and was subsequently registered (no.T-126715) under the Companies Act of 1965 on 11 September, 1984. Federation of Sabah Manufacturers is currently serving more than 160 members from plastic, food and drinks, wood based, steel based and building materials, automotive, electrical and electronic, and hardware industries located in Sabah.

Objectives

The objects for which the Federation is established are as follows :-

  • To encourage promote and protect the interests of manufacturers of all kinds of goods and commodities and to assist in the promotion and encouragement by all lawful means of the organization of manufacturers of all kinds and in particular with a view to the establishment promotion and development of manufacturers of all kinds including cottage industries.

  •  To afford facilities for the communication and interchange of views betweenmanufacturers and the governments government departments and public bodies and institutions and associations of all kinds in all parts of the world.

  • To promote legislations for the improvement of the standing of manufacturers and to promote support or oppose alternations to existing laws or proposed legislation and to effect improvements in administration.

  • To promote the collection and circulation of statistics and other information relating to industry science and commerce and the publication of literary works as may seem appropriate.

  • To promote and assist in the promotion and conduct of exhibitions including monetary gifts prizes medals and other awards.

  • To adjust wherever possible differences between members and to act as arbitrators whenever required.

  • To subscribe to or become a member of or co-operate with any public body or institution or association where it is considered such subscription member or co-operation is conductive to the objects for which the Federation is established.

  • To do all such other things as many as may be necessary or conductive to the attainment of the above objects or any of them.

  • To provide accommodation rooms and other facilities for holding and conducting arbitrations or meetings or for any other purposes in the interest of the Federation.

  • To acquire by purchase lease gift or otherwise any movable or immovable property as the Federation for the purpose hereof may from time to time think proper provided that the Federation shall not acquire or buy any land without the consent of the Minister charged with the responsibility for companies.

  • To invest in Malaysia the monies of the Federation not immediately required in such manner as may from time to time to thought fit.

  • To sell improve manage develop exchange lease mortgage dispose of or otherwise deal with all or any part of the property of the Federation.

  • To construct upon any land acquired for the purpose of the Federation any building or buildings for the purposes of the Federation and to alter add to or remove any building upon any such premises.

  • To encourage promote and establish scientific research conductive to the objects of the Federation and to provide grants of money therefore.

  • To borrow and raise any moneys required for the purposes of the Federation upon such terms and in such manner and on such securities as the Federation may determinate and in particular by the issue of debentures or debentures stock charged upon all or any of the property of the Federation.

  • To print and publish any newspapers, periodicals, books or leaflets that the Federation may think desirable for the promotion of its objects.

  • To subscribe to any local or other charities and to grant donations for any public purpose.

  • To support and to aid in the establishment of any other Federation formed with similar objects of this Federation.

  • To amalgamate with any companies, institutions, societies or associations having objective altogether or in part similar to those of this Federation.

  • Generally to do all such other lawful things as are incidental or conducting to the attainment of the above objects. The provision of the third schedule to the Company Act 1965 shall not apply to the Federation and the foregoing provisions of the paragraphs shall be read and construed without reference to the provisions of that schedule. Provided always that the Federation shall not support with its fund and any political organization or any object or endeavor to impose on or procure to be observed by its members or others any regulation, restriction or condition which if made an object of the Federation becoming a Trade Union within the meaning of the Trade Union Act.
